Terms and Conditions

Any delivery between the parties takes place on the basis of these general sales and delivery terms. An order is only binding if there is a written order confirmation from the seller and only on the terms stated in the order confirmation. Quotations are only binding for the seller for 30 days, unless otherwise stated. A quotation is only valid if accepted in writing by the buyer.

Payment

Unless otherwise stated, payment shall be made no later than 8 days after delivery. If the purchase price is not paid on time, default interest of 12% of the outstanding balance at any given time is calculated from the due date.

Payment of default interest does not preclude the seller from claiming compensation for any additional loss that the buyer"s breach of payment obligation may cause.

The buyer is obligated to make any payment to the seller as if delivery had occurred at the agreed time, even if delivery has been postponed due to the buyer"s circumstances.

The buyer is not entitled to set off or withhold any part of the purchase price due to counterclaims, unless this has been acknowledged in writing by the seller.

The seller reserves ownership of the delivered goods until full payment has been made, including accrued interest and costs.

Delivery and Delay

Delivery takes place from the seller"s address, regardless of whether the seller by own staff or by third party pursuant to separate agreement with the buyer brings the sold goods to the buyer. Delivery to the buyer is at the buyer"s expense and risk.

An exceeding of the delivery time by 30 days due to the seller"s circumstances is in all respects considered as timely delivery, whereby the buyer cannot exercise any powers against the seller for that reason.

If delay in delivery is due to the seller being prevented from delivery due to labor disputes, fire, war, shortage of goods, employees, agents, or any other circumstance, as well as all cases of force majeure, delivery is postponed for the duration of the obstruction. This applies regardless of whether the cause of the delay occurs before or after the expiry of the agreed delivery time.

The seller assumes no responsibility or liability in connection with consequential effects due to delayed delivery. However, both parties are entitled to cancel the agreement if the delay exceeds 2 months.

Packaging

The seller shall ensure that the goods are properly packaged. If the buyer has special requirements or wishes regarding packaging, this must be communicated to the seller in writing before the agreement is concluded.

Defects

The buyer shall immediately upon delivery examine the goods from the seller. If the buyer wishes to invoke a defect, the buyer shall, as soon as the defect has been or should have been discovered, give the seller written notice thereof and state what the defect consists of.

If the buyer does not complain as stated, the buyer cannot later invoke the defect.

At the seller"s choice, defects in the sold goods will be remedied or replaced at the seller"s expense within a reasonable time. If this does not happen, the buyer is entitled to cancel the agreement, claim a price reduction, or claim compensation.

If the buyer has not invoked the defect against the seller within 1 month from the delivery date, the buyer cannot later invoke the defect.

Breach of Contract

In the event of the buyer"s breach of contract, the seller is entitled to stop further deliveries and claim compensation according to general contract law rules.

Limitation of Liability

A compensation claim against the seller cannot exceed the invoice amount for the sold goods.

The seller is not liable for loss of operation, loss of profit, as a result of delay or defects in the sold goods.

The seller shall without undue delay notify the buyer in writing if force majeure or other circumstances beyond the seller"s control occur.

For product liability, the rules in Danish law in force at any given time apply.

Choice of Law and Venue

The agreement is subject to Danish law. Any dispute between the parties shall be settled by the Maritime and Commercial Court in Copenhagen.
